1. Terms and Conditions Agreement
1.1 This document is an agreement between us and you in relation to the services we will provide to you.
1.2 This agreement represents a license to access the space and facilities on the basis set out in this agreement.
1.3 The whole of the Premises remain in our possession and control at all times.
1.4 You represent and warrant that you have the legal capacity and/or authority to enter into this agreement and to abide by the terms and conditions set out in this agreement and incorporated into this agreement by reference.
1.5 Agreeing to the Terms and Conditions and payment of fees, (and deposit + bond if requested) will confirm your booking.
2.1 We will provide you with access to the Services from the Start Time to the End Time.
2.2 In the event that there is no End Time specified then the agreement will end at 5pm on the date in which the services were utilised.
2.3 You will not:
(a) use the Services for any unlawful purpose or any purpose that is prohibited by this agreement; and
(b) use the Services in any way that could damage, overburden or impair any other members’ use of any services we provide.
3. Additional Services
3.1 Upon your request, we may, at our sole discretion, provide the Additional Services to you either directly or through an affiliate.
3.2 Fees for Additional Services will be charged in accordance with our published rates.
4. Payment of Fees and Additional Services Fees
4.1 You must pay:
(a) your Fees in advance; and
(b) (if any) the Additional Services Fees.
5. Late Payment
5.1 For any applicable charges not paid in advance we may charge you interest on any payment not received from you by the Payment Date at a rate of 10%.
6. Disruption of Services or Additional Services
6.1 We will make all reasonable efforts to ensure the Services and Additional Services are made available to you.
6.2 You acknowledge that you have no claim against us in the event of a failure by us to provide the Services or the Additional Services in circumstances which are not as a result of any act or omission by us.
7.1 You acknowledge that it is your responsibility to obtain all necessary insurance.
7.2 You agree to indemnify us against any loss or damaged suffered, any claim, action, demand or liability arising as a result of your use of the Premises, the Services and or the Additional Services.
8. No Assignment
8.1 You will not assign or part with possession of this agreement or any part of it without our prior written consent.
9.1 Either party may terminate the agreement by giving 1 days’ notice in writing to the other party.
9.2 For the avoidance of doubt, this agreement will be terminated at the End Date.
9.3 We may, in our sole discretion, agree to renew or extend the agreement after the End Date.
9.4 You acknowledge that we may, in agreeing to renew or extend, increase the Fee.
9.5 If you breach this agreement or any of your obligations under this agreement, we may:
(a) suspend your right to access some or all of the Services and or Additional Services; and / or
(b) issue to you a notice to remedy, in the event that you fail to remedy such breach, terminate this agreement; and / or
(c) terminate this agreement, immediately and without notice.
10. Indemnity and Disclaimer
10.1 You use the Premises at your own risk.
10.2 We make no representation that the Premises is suitable to your needs.
10.3 We will not be liable for any loss suffered by you or any other person or party arising out of or in connection in any way related to your participation in or inability to particular in the use of the Services.
10.4 We will not be responsible for any theft, loss or damage to your property in the Premises.
Meeting room bookings are payable by the hour and subject to availability. Any room bookings over 2 hours may be rejected. Meeting room use is not included in Drop In Desk use. All cups, plates, cutlery and rubbish are to be removed and placed in the dishwasher or bins in the kitchen. Please place chairs under tables and wipe off any mess from food or drink on the tables. Wipe down white boards to ensure the next user can enjoy the facility without having to clean up after you.
Events Hire Bond and Deposit
A minimum deposit of $200 will be required to confirm an event space booking. A $200 Bond is required prior to be paid at the same time as the Deposit. The Bond will be held until after the event and will be returned provided the terms and conditions have been met by the Hirer. Any damage caused will be the responsibility of the hirer and will require payment from the hirer for replacement or repair of the above-mentioned damages. A cleaning fee of $100 may be taken from the bond. Weekend events will incur a $300 cleaning fee.
All catering and the provision of glassware is the responsibility of the hirer:
• Hirer is responsible for removal of all rubbish and debris
• Hirer is responsible for the cleaning of any breakages and spills
• Hirer is responsible for leaving the Event Space in the state in which it was found
The security and safety of the guests and age appropriate consumption of alcohol is the responsibility of the Hirer. The Hirer is responsible for the security of the building itself, its contents and the locking and arming of the building at the conclusion of the event. This also includes keeping guests within the Event Space only and not permitting guests access to the shared working areas.
Events Hire Cancellation
The deposit is refundable if notification of cancellation is given with a minimum of 7 days’ notice. If notice of cancellation is not given within 7 days of the event, the hirer is liable for the full cost.
